These terms govern your relationship with Imaginative Technology Applications, LLC when you purchase or receive custom software development, integration, hosting support, technical consulting, or other professional technology services described in a proposal, statement of work, or order. By engaging us, you agree to provide timely access, materials, and approvals reasonably required to perform the work.
Imaginative Technology Applications, LLC will communicate timelines and milestones during onboarding. Software projects depend on third-party systems, changing requirements, and your team's availability for reviews; dates are planning estimates unless a binding deadline is expressly fixed in writing. We will use commercially reasonable efforts to meet agreed schedules.
Fees, billing cadence, and any pass-through costs (for example, cloud provider charges billed in your name or reimbursed) are set out in your statement of work or invoice. Unless otherwise stated, professional service fees are due according to the payment terms on each invoice. Late payments may suspend work until accounts are current.
You are responsible for the accuracy of information you supply, lawful use of any data you provide, and obtaining rights for assets (code, designs, trademarks) you ask Imaginative Technology Applications, LLC to incorporate. You must maintain appropriate backups and security for systems under your control unless we have explicitly agreed to manage them.
Imaginative Technology Applications, LLC provides services using professional skill and care. To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from use of deliverables or third-party platforms outside our reasonable control, including outages or policy changes by vendors you select.
